Lifecycle Management T&Cs (as of 6 December 2024)

Effective January 1, 2025, Malwin Electronics Corporation is implementing updated Product Lifecycle Management Terms and Conditions to ensure the highest standards of quality and operational readiness. Under this policy, products developed within the last 5 years will receive full service support. Products between 5 and 10 years old will be eligible for limited support with a refurbishment surcharge, while products older than 10 years will transition to a tailored Instrument Replacement Program, offering replacement discounts for contemporary solutions. This structured approach reflects our commitment to maintaining excellence and aligning with customer needs at every stage of the product lifecycle.

We are pleased to announce that Malwin Electronics Corporation has achieved AS9100 certification, further solidifying our commitment to quality, performance, and reliability in aerospace and defense manufacturing. This significant milestone reflects our dedication to excellence and assures our customers of the highest standards in quality management, traceability, and product performance.

As part of our ongoing pursuit of quality and compliance excellence, we are updating our Terms of Service and proprietary information policies to ensure consistency with our quality objectives, regulatory obligations, and the protection of Controlled Technology Information (CTI). These updates will apply to all Malwin-manufactured instruments and related services, effective immediately.

Exclusive Servicing Rights

As part of our commitment to maintaining the integrity and performance of Malwin-manufactured instruments, all servicing, repairs, and maintenance are to be conducted exclusively by Malwin Electronics Corporation or authorized service providers operating under a formal licensing agreement with Malwin. Unauthorized third-party servicing of Malwin products is strictly prohibited. This policy ensures compliance with our AS9100-certified Quality Management System and preserves the reliability and safety of our instruments.

Warranty and Service Policy
Any repairs, servicing, or modifications performed by entities not expressly authorized by Malwin Electronics will invalidate all existing warranties and service agreements for the affected instrument. In such cases, Malwin may decline further service or support for the product, requiring the purchase of a replacement instrument to maintain operational standards and regulatory compliance.

Guidance for Partners with Historical Proprietary Access
To ensure adherence to our updated quality protocols, any past or current partner holding Malwin proprietary information without an exclusive licensing agreement is required to take immediate action:
  • Formalize Licensing: Contact Malwin Electronics to establish a licensing agreement for continued access and use of proprietary information.
  • Securely Dispose of Data: If licensing is not formalized, all proprietary data must be returned to Malwin promptly.

The use, sharing, servicing, or distribution of Malwin products or associated proprietary information without explicit written authorization from Malwin Electronics is strictly prohibited under any circumstances. This prohibition extends to all forms of communication, reproduction, or dissemination of technical data, design specifications, and product schematics, whether digital or physical. Such actions are considered a breach of company policy and may result in legal consequences, including but not limited to penalties for non-compliance with federal regulations.

Malwin Electronics operates under strict compliance requirements, including the handling and safeguarding of Controlled Technology Information (CTI) as defined by applicable federal laws and international export control regulations. Unauthorized access or use of this information not only jeopardizes the integrity and security of Malwin's intellectual property but also risks severe legal and regulatory penalties under laws such as the International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR).

Key Requirements and Justifications:
  1. Explicit Authorization: Any individual or organization wishing to use, share, service, or distribute Malwin products must first obtain written authorization from Malwin’s authorized personnel. Requests must clearly specify the purpose and intended scope of the action.
  2. CTI Handling Compliance: Malwin products often incorporate technology and data classified as Controlled Technology Information (CTI). Federal law mandates stringent control over such data to prevent unauthorized disclosure or misuse, as this could have significant implications for national security and trade compliance.
  3. Integrity and Reliability of Malwin Products: Unauthorized servicing or alterations to Malwin products can compromise product functionality, reliability, and safety, potentially leading to operational failures. This policy ensures that only trained, authorized personnel perform maintenance or modifications to uphold the integrity and quality of Malwin's products.
  4. Accountability and Traceability: Unauthorized sharing or servicing of Malwin products undermines accountability and traceability. Malwin’s policy ensures that all activities related to its products are logged, documented, and monitored, safeguarding compliance with both internal standards and federal requirements.
  5. Legal and Financial Consequences: Violations of this policy can expose Malwin and its stakeholders to significant risks, including:
    • Civil and criminal penalties for breaching federal export and trade compliance laws.
    • Financial losses due to compromised intellectual property or diminished product integrity.
    • Damage to Malwin’s reputation and standing within regulated industries.

Enforcement and Penalties: Malwin Electronics will actively monitor compliance with this policy. Any unauthorized use, sharing, or servicing of Malwin products will result in immediate corrective action, including but not limited to:
  • Termination of contracts or agreements.
  • Reporting of violations to federal regulatory authorities.
  • Legal action to recover damages and ensure compliance with federal and corporate regulations.

By adhering to these measures, Malwin Electronics safeguards the integrity, reliability, and security of its products, ensuring compliance with all applicable laws while protecting the interests of its stakeholders.
